Welcome to Valdt. These Terms of Service ("Terms") govern your access to and use of the Valdt website, platform, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

1. Description of Service

Valdt is a business marketplace platform that allows users to list, browse, and discover businesses, startups, and digital assets for potential acquisition. Valdt provides the venue for discovery and initial communication but is not a party to any actual transaction between buyers and sellers.

2. User Accounts and Verification

To access certain features of the Platform, you may be required to register for an account (including via social logins). You agree to provide accurate, current, and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Marketplace Role and Disclaimers

• No Brokerage or Advisory Role: Valdt is not a business broker, financial advisor, legal counsel, or transaction agent. We do not negotiate deals, provide legal advice, or facilitate the formal legal transfer of ownership.
• Due Diligence Responsibility: Buyers are solely and exclusively responsible for conducting their own due diligence, financial audits, and legal reviews before purchasing any business or asset listed on the Platform.
• No Warranty on Listings: Valdt does not verify, warrant, or guarantee the accuracy, legitimacy, financial performance, or safety of any listed business. All listings and information are provided on an "as is" and "as available" basis.

4. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Posting false, misleading, inaccurate, or fraudulent listings or information.
• Using the Platform for any illegal purposes or in violation of any applicable laws.
• Interfering with the proper working of the Platform or bypassing any security measures.
• Scraping or harvesting data from the Platform without prior written consent.

5. Limitation of Liability

To the maximum extent permitted by applicable law, Valdt, its founders, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or data, arising out of or relating to your use of the Platform or any transactions inspired or conducted through the Platform.

6. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will notify users of any material changes by updating the "Last Updated" date at the top of this page. Your continued use of the Platform after any changes constitutes acceptance of the new Terms.
